1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of a business entity) and OnliDesk ("we," "our," or "us"). By accessing our website, requesting a website preview, or purchasing our design and development services, you agree to be bound by these Terms.
2. The OnliDesk Service Model
OnliDesk offers custom web design and creative development services primarily tailored for local and regional businesses. Our signature commercial proposition allows prospective clients to review a working preview concept of their proposed website prior to making a payment commitment.
3. Website Preview Terms & Evaluation License
Evaluation Purpose Only: Website preview links and staging demonstrations provided by OnliDesk prior to payment are delivered solely for client review, evaluation, and approval.
To ensure clarity around the preview process, the following conditions apply:
- No Automatic Transfer of Ownership: The creation and hosting of a website preview does not transfer ownership, copyright, or intellectual property rights of the custom code, design structure, or visual styling to the prospective client prior to full payment.
- Authorized Use: Prospective clients are granted a limited, non-exclusive, revocable license to access, view, and test the preview URL for evaluation purposes.
- Prohibited Actions: A prospective client may not publish, clone, redistribute, reverse-engineer, commercially exploit, or represent the preview website as their own active site without completing the purchase agreement.
- No Obligation to Purchase: If you decide not to proceed after reviewing the preview, you incur no obligation to purchase. OnliDesk reserves the right to decommission or unpublish inactive preview staging links after a reasonable evaluation period.
4. Pricing, Scope & Payment
Our standard Professional Business Website package is offered at a one-time price of $267 (unless otherwise agreed in writing for specialized custom scopes).
The standard package includes:
- Custom website design aligned with your brand identity
- Fully responsive layout (desktop, tablet, and mobile optimization)
- Modern animations and interactive components
- Functional contact and inquiry forms
- Foundational on-page SEO structure and semantic metadata
- Hosting setup assistance and custom domain connection
- Final production launch
Payment is processed upon your approval of the website concept. Once payment is confirmed, OnliDesk finalizes all production assets and executes domain deployment.
5. Intellectual Property & Post-Purchase Rights
Upon receipt of full payment for the website package:
- The client receives full production usage rights and commercial license to the deployed website for their business operations.
- Client-supplied trademarks, logos, brand names, and proprietary content remain the exclusive property of the client.
- General coding utilities, open-source libraries, and reusable framework components remain subject to their respective licenses.
6. Client Responsibilities
Clients agree to provide accurate business details, necessary text, and brand assets required to construct their website. Clients confirm that any photos, logos, or copy provided to OnliDesk are either owned by the client or used with appropriate legal permission.
7. Revisions & Support
During the preview evaluation phase, reasonable adjustments and text/color refinements are made to ensure your satisfaction prior to launch. Ongoing maintenance or subsequent major architectural redesigns after launch may be requested as separate service arrangements.
8. Limitation of Liability
To the maximum extent permitted by law, OnliDesk shall not be liable for any indirect, incidental, special, or consequential damages resulting from website downtime, domain registrar issues, or third-party hosting interruptions beyond our reasonable control.
